Administrative Restoration
Administrative restoration refers to the procedure of re-adding a company to the Companies House Register after it has been struck off due to non-compliance, such as failing to submit necessary documents or meet legal requirements.
At AA Company Restoration, we offer expert services in administrative restoration, guiding businesses through the complex process of regaining their official status. With our knowledgeable team, we strive to ensure a smooth and efficient reinstatement process for our clients.
Initial Evaluation:
At AA Company Restoration, we begin by assessing your company's status to determine the necessary actions for reinstatement. This involves reviewing previous filings, identifying missing documents, and understanding the reason for the company’s dissolution.
Paperwork Handling:
Our team takes care of all the required documentation, ensuring that forms and paperwork are filled out correctly and submitted promptly to Companies House, helping to avoid delays in the restoration process.
Ensuring Compliance:
We assist you in meeting statutory requirements, such as filing annual accounts and returns, to ensure your company remains in compliance after being restored.
Liaison with Companies House:
We manage all communication with Companies House on your behalf, addressing any questions or issues that may arise, making sure the restoration process is as smooth as possible.
Court Order Restoration
Court order restoration is a legal procedure that allows a dissolved company to be reinstated to the Companies House Register, enabling it to access frozen assets or resume operations. This approach is typically used when administrative restoration cannot be applied due to specific conditions.
At AA Company Restoration, we specialise in court order restoration, assisting businesses through the detailed process of securing a court order to restore their company's legal status. Our expert team is well-versed in the complexities of court order restorations and is committed to achieving the best possible result for our clients.
Company Evaluation:
At AA Company Restoration, we start by evaluating your company's situation to determine if court order restoration is the best course of action. This includes reviewing the reasons for the dissolution and identifying any legal grounds for pursuing restoration through the courts.
Legal Expertise:
Our team provides expert legal representation throughout the court order restoration process. We prepare and file all necessary court documents, attend hearings on your behalf, and advocate for your company's reinstatement in court.
Stakeholder Negotiation:
In some cases, obtaining consent from other stakeholders or shareholders may be required for restoration. We offer guidance on how to resolve negotiations and seek necessary approvals from those with a vested interest.
Court Process Management:
We handle every aspect of the court proceedings, including presenting evidence, making legal arguments, and addressing any objections. Our goal is to secure a favourable court order for your company’s reinstatement.
Asset Recovery without being Restored
Asset recovery through Bona Vacantia is a process that occurs when a company has been dissolved, and its assets are claimed by the Crown due to the company’s failure to be restored to the Register. If a company is struck off and dissolved without going through the restoration process, its remaining assets may become ownerless and fall under the jurisdiction of Bona Vacantia. This means that the Crown takes control of these assets, as there is no legal entity to claim ownership.
In cases where a company is dissolved and its assets are deemed Bona Vacantia, it may be possible for former directors, shareholders, or other stakeholders to recover these assets, but this process is typically more complex. It often requires legal action and can involve the need to demonstrate a valid claim to the assets. Without the reinstatement of the company’s status, asset recovery is generally challenging and may not be straightforward.
At AA Company Restoration, we understand the complexities of asset recovery under Bona Vacantia, and while we primarily focus on company restorations, we can provide guidance and support for businesses seeking to recover assets in these circumstances.
This process can be complex and may require court intervention to recover the assets if the company remains dissolved. Asset recovery without company restoration involves attempting to reclaim assets from a dissolved company through legal channels, often under Bona Vacantia.

Common inquiries and answers
The Registrar of Companies has issued a specific form for this type of application, Form RTO1 which can be found at their website. This provision only relates to companies struck off and dissolved by the Registrar of Companies where he had reasonable cause to believe that the company is not carrying on business or in operation. It does not apply to companies struck off at their own request. The application can only be made by a member or director of the company and must be made within six years of the date of dissolution. To fall within this provision the company must:
1) have been carrying on business or in operation when it was struck off;
2) obtain the consent of the Crown’s representative; and
3) deliver to the Registrar of Companies all outstanding statutory returns in an acceptable form and pay any late filing penalties which may be due in respect of accounts. Details of how to obtain the Crown’s consent can be found at their website. The application must be accompanied by a statement of compliance to the effect that the person making the application has the necessary standing and that the requirements of Sections 1024 and 1025 have been met.
